1. Introduction and Legal Information

1.1. HiTip (“we”, “us”, “our”) is a tip facilitation platform operated by Atalstan OÜ, a company incorporated under the laws of Estonia, with registration number 16754617 and registered address at Võru tn 254, 50115 Tartu linn, Tartu maakond.

1.2. These Platform Terms of Use (“Terms”) govern access to and use of the HiTip platform available at hitip.app, including all related applications, software, APIs, and services (collectively, the “Platform”).

1.3. These Terms, together with our Privacy Policy and Cookie Policy, constitute a legally binding agreement between you and HiTip (the “Agreement”).

1.4. By accessing or using the Platform, you confirm that:

* You have read and understood this Agreement;
* You are legally capable of entering into a binding contract under applicable law;
* You agree to comply with these Terms.

If you do not agree, you must not use the Platform.

1.5. We may amend these Terms from time to time. Where changes are material, we will provide notice via email and/or via the Platform. Continued use after the effective date constitutes acceptance of the updated Terms.

2. Nature of the Service

2.1. HiTip provides a technical platform that enables users to receive voluntary gratuities (“Tips”) from supporters.

2.2. HiTip is not:

* A payment institution;
* A bank;
* A money transmitter;
* A financial intermediary.

2.3. All payments are processed exclusively by Stripe Technology Europe Ltd. (or its affiliates) (“Stripe”). HiTip does not hold, receive, control, or process user funds at any time.

2.4. HiTip acts solely as a technical intermediary between the user and Stripe.

2.5. HiTip does not employ users and does not act as an employer, agent, or representative of any user. Users independently provide services or content and receive voluntary tips at their own discretion.

3. Registration and Eligibility

3.1. To use the Platform, you must:

* Be at least 18 years old;
* Provide accurate and complete registration information;
* Maintain the accuracy of your information;
* Use the Platform only for lawful purposes.

3.2. If you collect Tips, you must:

* Connect a valid Stripe account;
* Successfully complete Stripe’s identity verification (KYC);
* Comply with Stripe’s terms, including Stripe Connect Terms;
* Comply with applicable tax and financial reporting obligations in your jurisdiction;
* Users are solely responsible for declaring and paying any applicable taxes related to tips received via the Platform.

3.3. HiTip reserves the right to request additional information to verify identity, prevent fraud, or comply with legal obligations.

3.4. We may refuse registration or suspend accounts at our sole discretion where necessary for legal, compliance, or security reasons.

4. Payment Processing (Stripe)

4.1. All payments are processed by Stripe under Stripe’s terms and policies.

4.2. By connecting a Stripe account, you agree that:

* Stripe determines payout timing and fees;
* Stripe may impose country-specific requirements;
* Stripe may freeze, delay, or withhold funds pursuant to its compliance obligations;
* Stripe may require identity verification documents and financial data.

4.3. HiTip does not:

* Store full card data;
* Control payouts;
* Issue refunds;
* Act as merchant of record.

4.4. Any disputes regarding payments, chargebacks, or refunds are handled through Stripe in accordance with Stripe’s procedures.

5. Fees

5.1. HiTip does not charge subscription, setup, or monthly fees.

5.2. The following fees apply:

* A commission charged to the supporter for tip transactions;
* A platform service fee of 10% applied to each transaction and collected via Stripe;
* A €2 payout fee per withdrawal.

5.3. The Platform sets:

* Minimum and maximum tip amounts per transaction;
* A minimum payout threshold.

5.4. HiTip reserves the right to modify fees and limits at any time. Changes will be published on the Platform.

6. Prohibited Content and Activities (EU & Stripe Compliance)

To comply with EU law, AML obligations, and Stripe’s Restricted & Prohibited Business Policies, the following are strictly prohibited:

* Child sexual abuse material (CSAM);
* Exploitation or sexualization of minors;
* Pornographic or sexually explicit adult content;
* Escorting, paid sexual services, or prostitution;
* Human trafficking;
* Promotion of violence or self-harm;
* Hate speech or discrimination;
* Terrorism or extremist content;
* Fraud, money laundering, scams, or deceptive practices;
* Sale of illegal goods or services;
* Use of HiTip for financial structuring or circumvention of AML controls.

We may immediately suspend or permanently terminate accounts engaged in prohibited activities and may report such activity to Stripe and competent authorities.

7. Intellectual Property

7.1. All intellectual property rights in the Platform and related materials remain the property of HiTip or its licensors.

7.2. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform for its intended purpose.

7.3. You may not:

* Copy, reproduce, modify, or distribute Platform content;
* Reverse engineer or interfere with the Platform;
* Remove proprietary notices;
* Use the Platform in a way that infringes third-party rights.

8. Data Protection (GDPR Compliance)

8.1. HiTip processes personal data in accordance with Regulation (EU) 2016/679 (GDPR).

8.2. HiTip acts as:

* Data controller with respect to account and platform data;
* Independent controller alongside Stripe regarding payment-related data.

8.3. We process personal data based on:

* Contract performance;
* Legal obligations;
* Legitimate interests (fraud prevention, security);
* Consent (where required).

8.4. We implement appropriate technical and organizational measures to protect personal data, including encrypted HTTPS transmission and access controls.

8.5. You have the right to:

* Access your personal data;
* Rectify inaccurate data;
* Request erasure (where legally permitted);
* Restrict or object to processing;
* Lodge a complaint with a supervisory authority.

9. Account Suspension and Termination

We may suspend or terminate your account where:

* You breach these Terms;
* Stripe suspends or restricts your Stripe account;
* Fraud or unlawful activity is suspected;
* Required by EU law, AML regulations, or competent authorities.

We may retain certain data where required for tax, AML, or legal compliance.

10. Availability and Modifications

The Platform is provided on an “as is” and “as available” basis.

We do not guarantee uninterrupted, secure, or error-free operation.

We may modify, suspend, or discontinue any part of the Platform at any time.

11. Limitation of Liability

11.1. Nothing in these Terms excludes liability for:

* Death or personal injury caused by negligence;
* Fraud or fraudulent misrepresentation;
* Any liability that cannot be excluded under applicable law.

11.2. To the maximum extent permitted by law, HiTip shall not be liable for:
* Indirect or consequential losses;
* Loss of profits, revenue, business, goodwill, or data;
* Actions or omissions of Stripe, banks, card networks, or third parties;
* Payment delays, chargebacks, or fund freezes initiated by Stripe.

11.3. HiTip does not guarantee any minimum level of tips, income, or transaction volume.

12. Indemnification

You agree to indemnify and hold HiTip harmless against claims, damages, fines, or costs arising from:

* Your breach of these Terms;
* Your violation of applicable law;
* Your misuse of the Platform.

 

13. Governing Law and Jurisdiction

These Terms are governed by the laws of Estonia and applicable European Union law.

Any disputes shall be subject to the exclusive jurisdiction of the courts of Estonia, unless mandatory consumer protection laws provide otherwise.
